Celebrant User Agreement

Effective Date: 28th July 2026

 

 

1. Introduction

This Celebrant Provider Agreement ("Agreement") sets out the terms under which you ("the Provider", "you", "your") use the Celectory platform (“the platform’) to receive and manage booking enquiries from funeral professionals.

 

This Agreement is made between:

 

Tamed Sea Ltd, trading as Celectory, referred to as "Celectory", "we", "our" or "us"; a company registered in England Wales under company number 11603506, whose registered office is at 20-22 Wenlock Road, London, England, N1 7GU

And

The Provider who has registered an account on the Celectory platform. By creating an account or accepting bookings through Celectory, you agree to be bound by this Agreement.

 

Tamed Sea Ltd provides and operates the Celectory online platform and enters into these Terms with you under the Celectory trading name.

 

Celectory acts solely as an intermediary technology platform facilitating booking requests between Funeral Professionals and Celebrants.

 

Celectory does not endorse, accredit, recommend or guarantee the competence, qualifications, suitability or performance of any Celebrant listed on the platform. Any agreement for services is entered into directly between the Funeral Professional and the Celebrant. Celectory is not a party to that agreement and accepts no liability arising from the provision of those services.

 

 

2. Definitions

Celectory / Platform

The online booking and availability platform operated by Celectory.

Celebrant / Provider

A self-employed provider of funeral celebrancy services.

Funeral Professional

A registered user authorised to search for and request bookings from Celebrants.

 

 

3. Nature of the Service

Celectory provides technology that allows:

· Celebrants to display availability;

· Funeral Professionals to search availability;

· Funeral Professionals to request bookings;

· Funeral Professionals to communicate initial instructions relating to the booking.

 

Celectory does not:

· employ Celebrants;

· supply Celebrants;

· supervise Celebrants;

· recommend one Celebrant over another;

· guarantee work or business growth;

· negotiate celebrant fees;

· supervise or control the delivery of funeral services;

· become a party to any agreement between a Funeral Professional and a Celebrant.

 

Providers remain self-employed (or otherwise independently engaged) and are responsible for the services they provide.

 

 

4. Eligibility

To become a Provider you confirm that:

· you are at least 18 years of age;

· you have the legal right to work in the United Kingdom;

· the information supplied to Celectory is accurate;

· you will keep your account information up to date.

 

Celectory may request reasonable evidence of identity and legal right to work.

 

 

5. Provider Profile

Providers are responsible for maintaining an accurate profile including:

· contact details;

· biography;

· availability;

· qualifications (where applicable);

· pricing (where applicable);

· profile photographs.

 

Publishing false or misleading information may result in suspension from the platform.

 

 

6. Availability

Providers are responsible for maintaining an accurate calendar.

You agree to:

· regularly update availability;

· remove unavailable dates promptly;

 

Failure to keep availability updated may result in:

· booking clashes;

· missed opportunities;

· poor customer experience.

 

Celectory accepts no liability arising from inaccurate availability.

 

 

7. Bookings

When a Funeral Professional submits a booking request:

· you will receive notification;

· you should respond promptly;

· bookings become binding commitments unless cancelled in accordance with this Agreement.

 

Celectory reserves the right to establish response time expectations.

 

 

8. Provider Responsibilities

You agree to:

· provide professional funeral celebrant services;

· act respectfully towards clients and families;

· be responsible for ensuring that any services they provide comply with all applicable legislation and guidance relevant

to the jurisdiction in which the funeral takes place;

· arrive punctually;

· communicate professionally;

· maintain appropriate records where required;

· hold appropriate qualifications where required;

· maintain professional standards.

 

 

9. Standards of Conduct

Providers must not:

· discriminate unlawfully;

· behave abusively;

· misuse confidential information;

· impersonate another person;

· misuse the platform for purposes unrelated to funeral services;

· attempt to interfere with platform security.

 

 

10. Insurance

Providers are responsible for maintaining appropriate insurance, including Professional Indemnity Insurance and Public Liability Insurance where appropriate.

 

Celectory may request evidence of insurance at any time.

 

 

11. Compliance

Providers are responsible for ensuring compliance with:

· GDPR where applicable;

· safeguarding obligations where applicable;

· tax obligations;

· self-employment requirements;

· any professional codes they choose to follow.

 

 

12. Subscription Fees and Cancellation

The Celebrant confirms that they are entering into this Agreement wholly or mainly for purposes relating to their trade, business or profession and not as a consumer.

 

Access to the Celebrant features of the Celectory Platform is subject to payment of the subscription fee displayed during registration or otherwise agreed with Celectory.

 

Unless otherwise stated, the subscription fee is £35 per calendar month, exclusive of VAT where applicable.

 

The subscription fee provides access to the Celectory Platform and its standard Celebrant features. It is not calculated by reference to the number or value of bookings received, and Celectory does not deduct commission from the Celebrant’s professional fees unless expressly agreed otherwise in writing.

 

Billing and automatic renewal

 

Subscription fees are payable monthly in advance.

 

The first payment will be taken on the date the paid subscription begins. Subsequent payments will normally be taken on the corresponding date in each following month.

 

The subscription will automatically continue on a rolling monthly basis unless it is cancelled in accordance with these Terms.

 

The Celebrant authorises Celectory and its payment services provider to collect the applicable subscription fee from the payment method provided by the Celebrant.

 

Free trials and promotional periods

Where Celectory provides a free trial, introductory period or promotional discount, the duration and conditions of that offer will be stated when the Celebrant registers or receives the offer.

 

Unless Celectory states otherwise, the normal subscription fee will become payable at the end of the free or discounted period. Where payment details have been provided in advance, payment may be collected automatically when that period ends.

 

Promotional offers are personal to the recipient, cannot be exchanged for cash and cannot normally be combined with another offer.

 

Cancellation

The Celebrant may cancel their subscription at any time through the available account or billing controls, or by contacting Celectory at contact@celectory.co.uk

 

Cancellation will prevent the subscription from renewing for a further billing period. Unless Celectory confirms otherwise, the Celebrant will retain access to the paid features until the end of the billing period for which payment has already been made.

 

The Celebrant must cancel before the next scheduled payment date to avoid being charged for the following billing period. If a celebrant would like to return to using the system, full onboarding would be required.

 

Refunds

Subscription fees are normally non-refundable once charged, including where the Celebrant does not use the Platform during the relevant billing period.

 

This does not affect any refund or other remedy to which the Celebrant is entitled by law. Celectory may also issue a refund or account credit at its discretion where it considers this appropriate.

 

Failed or overdue payments

If Celectory is unable to collect a subscription payment, it may make further attempts to collect the outstanding amount and may contact the Celebrant to request updated payment information.

 

Celectory may suspend or restrict access to paid features while an amount remains overdue. Celectory may terminate the subscription if the outstanding amount is not paid within [14] days after notice is given.

 

The Celebrant remains responsible for any subscription fees properly incurred before suspension, cancellation or termination.

 

Changes to subscription fees

Celectory may change its subscription fees from time to time.

 

Celectory will give the Celebrant at least 30 days’ notice of any increase. A price change will take effect from the Celebrant’s first renewal date following the expiry of that notice period.

 

If the Celebrant does not accept the revised fee, they may cancel the subscription before the revised fee takes effect.

 

 

13. Booking Payments

Unless otherwise agreed:

· Celectory facilitates bookings only.

· Payment for bookings is to be agreed between the celebrant and funeral professional

· Providers remain responsible for their own tax affairs.

 

 

14. Booking Cancellations

If you are unable to fulfil a confirmed booking you must:

· notify the funeral professional immediately;

· provide any reasonable assistance in arranging alternative cover in agreement with the Funeral Professional.

 

 

15. Confidentiality

You agree to keep confidential all information obtained through Celectory, including:

· funeral professional information;

· family information;

· booking information;

· pricing information where confidential.

 

Confidential information must not be disclosed except where required by law.

 

 

16. Data Protection

Providers agree to process personal information responsibly and in accordance with applicable UK data protection legislation.

 

You must not use personal information obtained through Celectory for unrelated purposes.

 

 

17. Intellectual Property

Celectory retains ownership of:

· the Celectory name;

· branding;

· logos;

· website;

· booking platform;

· software;

· content created by Celectory.

 

Providers retain ownership of content they upload but grant Celectory a non-exclusive licence to display it for the purpose of operating the platform.

 

 

18. Reviews

Funeral professionals may be invited to provide feedback and/or reviews about the platform.

 

Celectory reserves the right to publish reviews in accordance with its moderation policies.

 

Celebrants must not submit false reviews or encourage misleading reviews.

Reviews should be:

· honest;

· fair;

· professional;

· based on genuine experience.

 

Celectory reserves the right to remove abusive, defamatory or misleading reviews.

 

 

19. Acceptable Use

Users must not:

· copy or reproduce the platform;

· reverse engineer software;

· upload unlawful content;

· harass other users;

· use the platform fraudulently;

· attempt unauthorised access to Celectory systems.

 

 

20. Suspension

Celectory may suspend or restrict a Provider where there is reasonable concern regarding:

· repeated cancellations;

· misconduct;

· non-payment;

· misuse of the platform;

· fraudulent activity;

· breaches of this Agreement;

· activity likely to damage the reputation or operation of Celectory.

 

 

21. Termination

Either party may terminate this Agreement by giving reasonable notice.

 

Celectory may terminate access immediately where there has been a serious breach of this Agreement.

 

Termination does not affect existing legal rights or obligations.

 

 

22. Limitation of Liability

To the fullest extent permitted by law:

· Celectory does not guarantee booking volumes;

· Celectory does not guarantee uninterrupted availability of the platform;

· Celectory is not responsible for disputes arising directly between Providers and Funeral Professionals except where

required by law;

· Celectory is not responsible for acots or omissions of Funeral Professional.

 

Nothing in this Agreement excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot legally be excluded.

 

 

23. Platform Availability

Celectory will use reasonable efforts to maintain the availability of the platform but cannot guarantee uninterrupted service.

 

Maintenance, updates or technical issues may occasionally affect access.

 

 

24. Changes

Celectory may amend this Agreement from time to time.

 

Providers will be given reasonable notice of material changes.

 

Continued use of the platform constitutes acceptance of the updated Agreement.

 

 

25. Governing Law

This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, its subject matter or its formation, shall be governed by and construed in accordance with the laws of Scotland.

 

The parties irrevocably agree that the Scottish courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter.

 

Nothing in this Agreement prevents Celectory from providing services to users located elsewhere in the United Kingdom
