1. Introduction
This Funeral Professional User Agreement (“Agreement”) sets out the terms under which you (“the Funeral Professional”, “you”, “your”) use the Celectory platform (“the Platform”) to search for, contact and request bookings from Celebrants.
 
This Agreement is made between:
 
Tamed Sea Ltd, trading as Celectory, referred to as "Celectory", "we", "our" or "us"; a company registered in England Wales under company number 11603506, whose registered office is at 20-22 Wenlock Road, London, England, N1 7GU.
 
And
 
The Funeral Professional who has registered an account on the Celectory platform. By creating an account or using the Platform, you agree to be bound by this Agreement.
 
Tamed Sea Ltd provides and operates the Celectory online platform and enters into these Terms with you under the Celectory trading name.
 
Celectory acts solely as an intermediary technology platform facilitating booking requests between Funeral Professionals and Celebrants.
 
Celectory does not endorse, accredit, recommend or guarantee the competence, qualifications, suitability or performance of any Celebrant listed on the platform. Any agreement for services is entered into directly between the Funeral Professional and the Celebrant. Celectory is not a party to that agreement and accepts no liability arising from the provision of those services.
 
2. Definitions
Celectory / Platform
The online booking and availability platform operated by Celectory.
Celebrant / Provider
A self-employed provider of funeral celebrancy services.
Funeral Professional
A registered user authorised to search for and request bookings from Celebrants.
 
3. Nature of the Service
Celectory provides technology that allows Funeral Professionals to:

• search for available Celebrants;

• view Celebrant profiles and service areas;

• submit booking requests;

• communicate with Celebrants regarding bookings;

• manage bookings through the platform.

 
Celectory does not:

• employ Celebrants;

• supply agency staff;

• supervise or manage Celebrants;

• recommend one Celebrant over another;

• guarantee availability;

• negotiate fees;

• supervise or control the delivery of funeral services;

• become a party to any agreement between a Funeral Professional and a Celebrant.

 
4. Eligibility
To register as a Funeral Professional you confirm that:

• you are authorised to act on behalf of your funeral business;

• all information supplied is accurate and complete;

• you will keep your account information up to date;

• you will use the platform solely for legitimate funeral-related bookings.

 
Celectory may request reasonable evidence of your business identity where appropriate.
 
5. User Account
You are responsible for maintaining:

• accurate business details;

• authorised user information;

• secure login credentials.

 
You remain responsible for all activity undertaken using your account.
 
6. Booking Requests
When submitting a booking request you agree to provide accurate information including:

• funeral date;

• service time;

• venue;

• crematorium or burial location;

• family requirements where appropriate;

• any special instructions relevant to the booking, where appropriate.

 
Submitting a booking request does not guarantee acceptance by a Celebrant.
 
A booking is only confirmed once accepted by the Celebrant (where manual acceptance applies) or automatically confirmed through the platform where applicable.
 
7. Funeral Professional Responsibilities
You agree to:

• communicate professionally with Celebrants;

• provide accurate booking information;

• notify Celebrants promptly of any changes;

• honour agreed booking arrangements;

• pay Celebrants in accordance with your agreed payment arrangements;

• comply with all applicable legal obligations.

 
8. Standards of Conduct
Users must not:

• discriminate unlawfully;

• behave abusively;

• misuse confidential information;

• impersonate another person or organisation;

• misuse the Platform for purposes unrelated to funeral services.

• attempt to interfere with platform security.

 
9. Payments
Unless otherwise agreed:

• Celectory facilitates introductions and booking requests only.

• Payment for celebrant services is agreed directly between the Funeral Professional and the Celebrant.

• Celectory does not collect or process payment for funeral services unless expressly stated.

 
10. Booking Changes and Cancellations
Where a confirmed booking requires amendment or cancellation you agree to:

• notify the Celebrant as soon as reasonably possible;

• notify Celectory where appropriate;

• provide updated information promptly.

 
11. Confidentiality
You agree to keep confidential all information obtained through Celectory, including:

• Celebrant contact details;

• booking information;

• pricing information where confidential;

• personal information relating to families.

 
Confidential information must not be disclosed except where required by law.
 
12. Data Protection
Funeral Professionals agree to process personal information responsibly and in accordance with applicable UK data protection legislation.
 
Personal information obtained through Celectory must only be used for legitimate funeral-related purposes.
 
13. Intellectual Property
Celectory retains ownership of:

• the Celectory name;

• branding;

• logos;

• website;

• booking platform;

• software;

• content created by Celectory.

 
Nothing within this Agreement transfers ownership of Celectory’s intellectual property.
 
14. Reviews and Feedback
Funeral professionals may be invited to provide feedback.
 
Celectory reserves the right to publish reviews in accordance with its moderation policies.
Funeral Professionals must not submit false reviews or encourage misleading reviews.
Reviews should be:

• honest;

• fair;

• professional;

• based on genuine experience.

Celectory reserves the right to remove abusive, defamatory or misleading reviews.
 
15. Acceptable Use
Users must not:

• copy or reproduce the Platform;

• reverse engineer software;

• upload unlawful content;

• harass other users;

• use the Platform fraudulently;

• attempt unauthorised access to Celectory systems.

 
16. Suspension
Celectory may suspend or restrict access where there is reasonable concern regarding:

• repeated cancellations;

• misconduct;

• misuse of the platform;

• fraudulent activity;

• breaches of this Agreement;

• activity likely to damage the reputation or operation of Celectory.

 
17. Termination
Either party may terminate this Agreement by giving reasonable notice.
 
Celectory may terminate access immediately where there has been a serious breach of this Agreement.
Termination does not affect any existing legal rights or obligations.
 
18. Limitation of Liability
To the fullest extent permitted by law:

• Celectory does not guarantee the availability of any Celebrant.

• Celectory does not guarantee uninterrupted operation of the Platform.

• Celectory is not responsible for disputes arising between Funeral Professionals and Celebrants except where required by law.

• Celectory accepts no responsibility for the acts, omissions or professional conduct of Celebrants.

 
Nothing in this Agreement excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot legally be excluded.
 
19. Platform Availability
Celectory will use reasonable efforts to maintain the availability of the Platform but cannot guarantee uninterrupted service.
 
Maintenance, updates or technical issues may occasionally affect access.
 
20. Changes
Celectory may amend this Agreement from time to time.
 
Users will be given reasonable notice of material changes.
 
Continued use of the Platform constitutes acceptance of the updated Agreement.
 
21. Governing Law
This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, its subject matter or its formation, shall be governed by and construed in accordance with the laws of Scotland.
 
The parties irrevocably agree that the Scottish courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter.
 
Nothing in this Agreement prevents Celectory from providing services to users located elsewhere in the United Kingdom
